Terms of Service

1. Acceptance of Terms

By accessing or using Tier Flock (the “Service”), operated by Tensor Wave Inc. (“we,” “us,” or “our”) at tierflock.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

2. User Accounts

You must be at least 13 years of age to use the Service. By creating an account, you represent that you meet this minimum age requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

3. User Content

The Service allows you to create tier list templates, rank items into tiers (such as S, A, B, C, D, F, or custom tiers), post comments, and react to content created by other users. All such material is considered “User Content.”

You retain ownership of the User Content you create. By submitting User Content to the Service, you grant Tensor Wave Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with operating and providing the Service.

You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe on the rights of any third party.

4. Prohibited Conduct

You agree not to:

  • Post abusive, hateful, threatening, harassing, or otherwise objectionable content.
  • Use automated tools, bots, or scripts to create templates, rankings, or other content on the Service (spam or automated template creation is strictly prohibited).
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Interfere with or disrupt the integrity or performance of the Service.

5. Points & Gamification

The Service includes a gamification system through which users may earn points based on their activity (such as creating templates, ranking items, and receiving reactions). Points are a feature of the Service and have no monetary value.

We reserve the right to modify, suspend, or discontinue the points system at any time, and to adjust or reset point balances at our sole discretion.

6. Intellectual Property

The Service, including its design, logos, trademarks, and all software and content created by Tensor Wave Inc. (excluding User Content), is the property of Tensor Wave Inc. and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our prior written consent.

7. Content Moderation

We reserve the right, but are not obligated, to review, edit, or remove any User Content that violates these Terms or our content guidelines, at our sole discretion and without prior notice. We are not responsible for any User Content posted by users of the Service.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We make no guarantees regarding the persistence or availability of any data, including User Content, stored on the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TENSOR WAVE INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

12. Changes to Terms

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by posting the revised Terms on the Service and updating the effective date above. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms.
